General terms and conditions for the use of hocaboo for companies (as of January 29, 2019)

  1. Scope of application
    1. The portal "www.hocaboo.com" (hereinafter referred to as "hocaboo") is operated by Pandora Vermittlung GmbH, Bundesallee 220, 10719 Berlin, Germany. hocaboo's purpose is to facilitate contact between employers and employees in the tourism industry.
    2. These General Terms and Conditions apply exclusively to the use of the platform by the companies. General terms and conditions of the companies shall only become part of the contract if this has been expressly agreed in writing.
    3. These General Terms and Conditions are made available to the company on the platform so that the company can read, download and save them locally.
  2. Subject matter of contract
    1. The subject matter of the contract is the provision of a platform for finding potential new employees. For a monthly fee, companies can book various service packages and, in particular, create job advertisements and make direct contact with suitable users. An intelligent algorithm suggests suitable employees to whom the companies can submit offers directly. Via 'SmartPromotions', job advertisements can also be advertised on selected social media channels.
    2. The platform is available for use 24 hours a day, 365 days a year with an availability of 98% annual average. In case of necessary maintenance work, which impairs the availability, a timely notification to the companies via e-mail is carried out if possible. hocaboo is not responsible for downtimes in which the platform should not be available due to technical or other problems which are not within the sphere of influence of hocaboo.
    3. With the conclusion of a membership on hocaboo, manually or via my.hocaboo.com/register, the following contract for the processing of data on behalf (according to EU GDPR) is concluded: ​Contract for the processing of orders.
  3. Rights and obligations of businesses
    1. The use of the platform requires a registration of the company by creating an account. The data entered must be truthful and updated immediately in the event of changes. After creation of the account, hocaboo will send the company a confirmation of registration to the specified e-mail address. The profile created by the company will only be integrated into the platform after it has been checked and manually activated by hocaboo. The company is not entitled to the conclusion of a user contract. With the click or the call of the link of the confirmation email the right to act according to §167 Abs.2 BGB is automatically assumed.
    2. hocaboo is entitled to request the company to confirm the registration in writing and, if necessary, to request proof of the power of representation of the acting person. If the proof is not sent within a reasonable period of time, hocaboo is entitled to block the account.
    3. The company is obliged to keep user names and passwords for access to the platform secret. In the event of misuse or loss of this information (or suspicion thereof), the company will immediately inform hocaboo by e-mail to info[at]hocaboo[dot]com of this fact.
    4. hocaboo offers the company forms for the creation and distribution of job advertisements. The profiles of the users are initially displayed pseudonymised to the company. The release of the user's contact data only takes place after explicit confirmation by the respective user. Memberships for offers and applications from users as well as targeted campaigns via social media are subject to a fee.
    5. The job advertisements remain visible on the platform for a maximum period of 12 months, unless they are deactivated prematurely by the company itself or by hocaboo in accordance with these GTC.
    6. Commercial advertising for its own purposes or for third parties is prohibited for the company on its profile. This includes in particular the advertising of similar Internet platforms and service telephone numbers subject to charges. The presentation of one's own company does not constitute advertising in this sense.
    7. The company is obliged to ensure smooth receipt of e-mails from the platform and - if necessary - to make the necessary spam filter settings. This also applies to all contractual communication.
    8. The company is obliged to observe all applicable laws when creating the profile and job advertisements. In particular, the company must not violate copyright, trademark, license, competition or other intellectual property rights. The company itself is responsible for the content provided.
    9. Content or files that contain representations of violence, racist, offensive, discriminatory, pornographic or other illegal content may not be published on the company's profile or in a job advertisement.
    10. If the company violates these rules, hocaboo is entitled to block the profile and the account of the company.
    11. The company indemnifies hocaboo against all claims of third parties which they assert against hocaboo due to the violation of their rights, in particular copyrights, trademark rights, license rights, competition rights or other industrial property rights as well as the right to their own image in contents created by the company. The company shall reimburse hocaboo for the reasonable costs of legal defence incurred due to the infringing contents, including any court costs. This does not apply if the infringement is not the fault of the company. The company is obliged to support hocaboo to the best of its ability in the defence against all claims of third parties based on the contents of the company.
  4. Rights and duties of hocaboo
    1. hocaboo provides companies with a browser-based platform with the aim of contacting suitable applicants. In doing so, hocaboo only provides the technical possibilities. These are the platform itself, the prefabricated form of the job advertisements, the matching with suitable applicants, the active advertising of job advertisements, and the provision of contact data of the respective applicants. hocaboo is not responsible for the success of the matching. The company is aware that the placement is made by means of software and that occasional errors may occur in the use of hocaboo.
    2. The platform merely provides proactive support for filling vacancies. With the exception of the booking of the Recruiter Package, hocaboo does not provide direct placement. Furthermore, a participation of hocaboo in the respective application processes does not take place at any time, with the exception of the booking of the Recruiter Package, and is not part of the contract.
    3. The company can choose between the following service packages:
      • ESSENTIAL: The Essential package includes unlimited posting of job advertisements and unlimited contact with potential candidates (Connect). Job ads are made available to candidates via the free mobile app and the hocaboo website. The company is also automatically presented with the most suitable candidates for each job advertisement in a curated candidate list. An infinite number of matches can be generated. By archiving job advertisements, matches are automatically deleted. The company can add up to five images to the company profile. The image at the first position is considered a 'cover' and is used to preview job ads online. The order of the images can be changed at any time. Images can be deleted or uploaded at any time. The company can add a logo to the company profile. The company can send unlimited messages via the integrated direct chat. The social sharing function also enables the distribution of job advertisements via the provided link (Deeplink URL), as well as the placement of paid 'SmartPromotions' on Facebook & Instagram (see also 4.4). Curricula vitae and documents of candidates can be downloaded (after approval by the candidate) or printed directly. The hiring of new employees via the platform is unlimited and free of charge. Access to the account is limited to one person for the company.
      • ADVANCED: The Advanced Package comprises the scope of services and functions of the Essential Package as well as the setup of a company profile on the platform and the automatic crawling/import of the company's current job advertisements by hocaboo (see 4.5). The setup takes place on the basis of the provided information & data within 2 working days from the complete provision of a logo, at least one profile picture, the number of employees, the number of rooms, the correct company name, and the indication of the email contact data of the main user (Account Master) as well as the data required in point 4.5 to be able to import job advertisements automatically.
        Matches (candidate profiles with which the company is associated by mutual agreement) can be stored on the platform for a period of at least 24 months. This also applies to their curriculum vitae, personal data and uploaded documents. In addition, the chat function remains active (unless one of the two parties rejects the match) and the respective candidate can be contacted again at any time via hocaboo. The company gets priority over all other companies in the Essential Package (Premium Support). The access to the account is limited to fifty (50) persons for the company.
      • RECRUITER & RECRUITER FLEX: The Recruiter package includes the entire sourcing process from up to three job profiles simultaneously as well as a personal Key Account Manager/Recruiter from hocaboo, who is familiarized with the peculiarities and individual requirements of the company in detail. The personal advisor will contact suitable candidates on all channels available to him to the best of his knowledge and belief (headhunting) and compile the application documents as well as conduct a preliminary interview on the suitability of the candidate on the phone or via Skype. In advance, an individual catalogue of questions will be drawn up in a joint consultation. The specification of a complete list of benefits, salary range, as well as any commissions and shareholdings are mandatory. In case of missing information or delays in communication on the part of the company, the created candidate profiles may be lost. The profiles of suitable candidates will be sent directly to the company following this pre-selection process. The company alone decides whether to invite candidates for a personal interview in the company. There are no additional costs for hiring (the exception is the Recruiter Flex package).
    4. CRAWLING: The company provides hocaboo with a link to link to the hotelcareer.de profile of the company from which newly published job advertisements are automatically transferred to hocaboo within 48 hours and the formatting and content (if necessary) are automatically adjusted. Due to changes in the source files by hotelcareer.de, errors or the absence of data imports may occasionally occur. After the company has notified hocaboo of these, it is ensured that missing files or information are manually updated by hocaboo within 24 hours. Imported job advertisements are not automatically terminated. There is only a one-time comparison when the job advertisement is published. Subsequently changed contents of a job advertisement on hotelcareer.de will not be considered by hocaboo.
    5. SMART PROMOTIONS: In addition to the existing advertising media on hocaboo, the company has the possibility to draw attention to its job advertisements with targeted advertising campaigns (AdCampaigns) on Facebook and Instagram within a self-chosen period to a self-chosen budget within a self-chosen period and thus to generate the greatest possible proactive attention outside the hocaboo platform. SmartPromotions are subject to a fee and depend on the individual data of the company. The company triggers the promotion by confirmation in the WebApp, which is executed completely independently by hocaboo. The targeting of the respective campaign is adapted to the respective requirements and local conditions of the company and constantly optimized by an adaptive algorithm. The placement of the campaign always starts with the receipt of payment at hocaboo. 10% (ten) of the total amount will be deducted as processing fee. The payment is made by bank transfer or with a deposited credit card (Visa & Mastercard). The company can stop campaigns at any time, but in this case the budget is forfeited and cannot be saved or shared elsewhere. Campaigns can be split into several campaigns to optimize hocaboo's reach. The content of SmartPromotion always depends on the content of the selected job advertisement. The image used is always the first image in the company profile and cannot be selected individually. Following each campaign, the company receives an evaluation of the results as well as recommendations for action to optimize further campaigns. The exact targeting is not part of the report and remains the intellectual property of hocaboo. The company is not entitled to a minimum number of received calls or a number of received applications generated by a SmartPromotion. The range predicted by hocaboo is non-binding in any case, based on information from Facebook, Inc. and may vary depending on the job advertisement.
  5. Granting of rights
    1. With the creation of the profile and the job advertisement by the company, hocaboo receives all copyrights and other rights of use, which are required for the publication of the profile and the job advertisement, temporally and spatially unrestricted, in particular:
      • The Archiving and Database Law. This means the right to archive the contents made available by companies in any form and, in particular, to record them in digital form, to place them in databases and to store them on all known storage media and on any data carriers and to combine them with other works or parts of works.
      • The right of reproduction and distribution. This means the right to store, reproduce and make available in electronic or other media (e.g. Internet, newspapers, periodicals) in whole or in part or to distribute the above-mentioned contents at will.
      • The processing right. This means the right to edit the above-mentioned contents at will, in particular to change, shorten, supplement and combine them with other contents.
  6. Payments
    1. Memberships for the creation of a job advertisement and the release of contact data of suitable applicants as well as campaigns via the 'SmartPromotions' integrated on hocaboo are subject to charges and depend on the package booked in each case, or the scope and duration of the campaign booked in each case.
    2. The contractually agreed fees shall be invoiced in advance at the beginning of the contract period and in accordance with the selected payment variant (monthly, annual) and shall be due for payment within 14 days of invoicing. Payment is made by bank transfer, Paypal or by depositing a valid credit card (Visa or Mastercard). Booked campaigns on social media will only be activated after receipt of payment for the respective duration. If a credit card is specified as the means of payment, this will automatically be charged when ordering a payable service. Several credit cards can be deposited. hocaboo first charges the card marked as ‘preferred’. If a payment fails, an alternative payment method will be charged automatically or an invoice will be created. If a payment is rejected hocaboo is entitled to charge a handling fee of €5.00 (net) per transaction. Only one attempt to debit each means of payment is ever made.
    3. All prices are quoted exclusive of the statutory value added tax applicable at the time.
    4. In individual cases, hocaboo is entitled to temporarily suspend the service in case of default of payment until the outstanding claims have been settled in full.
  7. Liability
    1. hocaboo shall pay damages or compensation for futile expenses for whatever legal reason (e.g. from legal and similar legal obligations, material defects and defects of title, breach of duty and tort) only to the following extent:
      • The liability in case of intent and warranty is unlimited;
      • In case of gross negligence hocaboo is liable for the amount of the typical damage foreseeable at the conclusion of the contract;
      • In case of a non grossly negligent breach of such an essential obligation that the achievement of the purpose of the contract is endangered (cardinal obligation), hocaboo is liable in the amount of the typical damage foreseeable at the time of conclusion of the contract.
    2. hocaboo the objection of contributory negligence remains open.
    3. In the event of injury to life, limb and health or claims arising from the Product Liability Act, the statutory provisions shall apply without restriction.
    4. hocaboo takes all reasonable steps to ensure a permanent availability of the platform. Should there nevertheless be restrictions in accessibility (downtime), the above exclusions and limitations of liability shall also apply in this respect.
    5. hocaboo is not responsible for the content of job advertisements and company descriptions published by companies.
  8. Duration and termination of the contract
    1. The contract of use between the company and hocaboo is concluded on the basis of the period of performance shown and selected in the offer or at https://www.hocaboo.com/en/companies/pricing/.​
    2. The minimum contract term is either one month or twelve months, depending on the scope of services selected, unless individual agreements have been made in writing. If the contract is not terminated before the respective end of the contract, it shall be extended from 0.00 a.m. of the following day by the minimum contract term agreed in the contract. This option can be deactivated at any time in your login area. If the automatic renewal is cancelled or deactivated, the profile will be deactivated at the end of the minimum contract period.
    3. hocaboo is entitled to terminate the contract with one month's notice to the end of the quarter.
    4. A termination for good cause must be threatened in writing beforehand with a notice period of at least two weeks, stating the reason for termination.
    5. Each notice requires the text form.
  9. Changes to services and general terms and conditions
    1. hocaboo reserves the right to change the offered services or to offer different services, provided that this is reasonable for the company considering the subject matter of the contract and the change has no effect on the main contractual obligations. Furthermore, hocaboo reserves the right to change the offered services due to changed legal requirements as well as to eliminate security risks. The same applies if the change is of a purely technical or procedural nature. The company will be informed by hocaboo in due time about significant changes in performance.
    2. In addition, hocaboo reserves the right to change these general terms and conditions at any time without giving reasons, unless this is unreasonable for the company. The Company will be notified of any changes to these Terms and Conditions in a timely manner. If the Company does not object to the validity of the new General Terms and Conditions within a period of six weeks after notification, the amended General Terms and Conditions shall be deemed to have been accepted by the Company. hocaboo shall inform the Company separately of this legal consequence at the beginning of the period.
    3. The amendment mechanism shall not apply to changes to the parties' main contractual obligations.
  10. Final provisions
    1. The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
    2. Place of performance and place of jurisdiction for all disputes arising from and in connection with the contract shall be the registered office of hocaboo.

General Terms and Conditions Employer Branding (as of January 15, 2020)

  1. Scope
    1. All offers and services of Pandora Vermittlung GmbH (hereinafter referred to as „Pandora“) in the field of Social Employer Branding (hereinafter referred to as „SEB“) are exclusively based on these General Terms and Conditions (the „Terms and Conditions“). These Terms and Conditions are part of all contracts and agreements that Pandora concludes with a company, a legal entity under public law or a special fund under public law (each, the „Contractual Partner“) regarding the services and/or products offered by Pandora in the SEB Sector, and will also apply to all future offers or services in the SEB Sector to the Contractual Partner, even if their validity is not separately agreed upon again.
    2. Terms and conditions of the contracting partner or other third parties will not apply, even if Pandora does not expressly object to their validity in individual cases. Even if Pandora refers to a letter or email which contains or refers to the terms and conditions of the contracting partner or a third party, this will not be considered as an acceptance of these terms and conditions.
    3. Pandora reserves the right to change these terms and conditions if necessary. However, changes to these terms and conditions will only be effective for the contracting partner if and to the extent that the contracting partner
      1. has been informed of such changes in writing, enclosing the amended terms and conditions and highlighting the changes (the „Notice of Change“);
      2. he has not objected to the changes in writing (e-mail is sufficient) within one (1) month after receipt of the notification of change and the changed GTC; and
      3. was informed in writing at the same time as the amendments were sent that his right of objection expires on expiry of the period specified in b) above and that his waiver of the right of objection shall be deemed tacit acceptance of the amended GTCs.
    4. Pandora reserves the right to provide additional terms and conditions for certain services and/or benefits (collectively, the „Additional Services“). These additional terms and conditions will be communicated to the contractual partner prior to the initial provision of the Additional Services. They will only be deemed to be agreed upon if and to the extent that the contractual partner has become or could become aware of the additional terms and conditions and has accepted them. In the event of any discrepancy between the provisions of the Additional Terms and Conditions and these Terms and Conditions, the provisions of the Additional Terms and Conditions shall prevail. If a contractual partner does not agree or does not accept the additional terms and conditions, Pandora is entitled to refuse the provision of the additional services on which they are based.
  2. Scope of performance; subject matter of the contract
    1. Pandora offers various SEB services to the Engagement Partner, including (i) sustainable employer brand development, (ii) digital reach expansion (e.g. Facebook, Instagram, LinkedIn, XING, etc.), (iii) serve to increase the perception of the contractual partner's employer brand (employer branding), (iv) communication with potential employees and media audiences and (v) lead generation of potential employees (sourcing) (collectively, the „Pandora Services“).
    2. In this context, Pandora develops and optimizes the marketing of the contractual partner and its employer brand on social media platforms (each a „marketing measure“), advises the contractual partner on the implementation of such marketing measures and supports him in their realization and implementation.
    3. For this purpose, Pandora will create and design the social media presence of the contractual partner by (i) creating a meaningful social media account on one or more social media platforms, (ii) discussing, optimizing and individually adapting relevant posts and content with the contractual partner and publishing them at agreed times, (iii) monitoring, editing and analyzing the reactive communication on the content, (iv) evaluating the activity of the social media presence on a quarterly basis and (v) preparing a final analytical report. In this respect, the contractual partner is obliged to cooperate (clause 4) in order to enable Pandora to properly provide the services it offers.
    4. The Pandora services are offered in a modular way, i.e. the contracting partner can individually design the scope and content of the Pandora services he wants to offer and adapt them to his needs. An overview of the Pandora Services to be provided as well as the costs involved are based on the items listed in the respective offer.
    5. The entire content of any marketing activity undertaken by or provided through Pandora, including, but not limited to, text, graphics, logos, trade names, trademarks, patents, images, audio/video clips, empirical data, digital downloads and data collections, is - to the extent permitted by law - the property of Pandora or of third parties supplying or providing content, and is protected by copyright laws. The same applies to the entire content of Pandora's marketing efforts or Pandora services provided. Excluded from this are the contract partner contents provided by the contract partner in terms of the following section 4 paragraph (1). During the term of the contract, Pandora grants the contracting partner - as far as necessary and legally permissible - a simple, non-exclusive, non-transferable or sublicensable license limited to the respective marketing measure to use such contents protected by industrial property rights, copyrights or ancillary copyrights. Any use beyond this is not permitted and requires the prior written consent of Pandora. Furthermore, Pandora does not warrant and is not liable for the accuracy, completeness, usability or validity of third party content.
    6. Pandora is entitled to monitor and review the contracting partner's compliance with these Terms and Conditions on a regular and case-by-case basis and to take all appropriate and necessary legal measures to prevent any illegal and/or unauthorized use of Pandora's services. In particular, Pandora is entitled to process personal data of the contracting partner or of contact persons at the contracting partner for the purpose of enforcing compliance with these GTC and to forward such personal data to law enforcement agencies or other authorities charged with the enforcement of legal provisions.
    7. Pandora reserves the right to change or temporarily or permanently discontinue the provision of its services in the SEB (or parts thereof) at any time and without prior notice to the contracting party. Affected services which Pandora owes to its contracting partner will be provided until the end of the contract term agreed between Pandora and the contracting partner. Any liability of Pandora due to the modification or temporary or permanent suspension of services is expressly excluded.
  3. Offer and signing of the contract
    1. All Pandora's offers are subject to change and non-binding, unless they are expressly marked as binding or contain a specific period of acceptance. Pandora may accept orders and requests of the contracting partner within twenty-one (21) days after receipt.
    2. The legal relationship between Pandora and the contracting party (the „Parties“) is governed solely by the written contract including these T&Cs. This contract fully reflects all agreements between the contracting parties regarding the subject matter of the contract. Any prior oral agreements between the contracting parties will be replaced by the written contract, unless they expressly state that they shall continue to be binding.
    3. Information provided by Pandora regarding the Pandora Services as well as representations of the same (e.g. drawings and illustrations) shall only be authoritative if the usability for the contractually intended purpose requires an exact conformity with such information and/or representations. They are not guaranteed characteristics of quality but descriptions or identifications of the performance. Deviations customary in the trade and deviations which are based on legal regulations or represent technical improvements are permissible, provided they do not impair the usability for the contractually intended purpose.
    4. Pandora reserves the title and copyright to all offers and cost estimates submitted by it as well as to all drawings, illustrations, calculations, brochures, catalogues, models and other documents and aids (collectively the „Subjects of Performance“) made available to the contracting partner. Without Pandora's prior written consent, the contracting partner may not make the subjects of performance accessible to third parties either as such or in terms of content, disclose them, use or reproduce them itself or through third parties. Upon Pandora's request, the contracting partner must return the subjects of performance in full and immediately destroy any copies made if they are no longer needed by the contracting partner in the ordinary course of business or if negotiations do not lead to the conclusion of a contract.
  4. Cooperation obligations of the contractual partner
    1. The contracting partner is obliged to provide Pandora with the content to be published for the contracting partner via the social media platforms, in particular, but not exclusively, (personal) data, messages, documents, forms, contract samples, brochures, data, texts, communication guidelines, voicemails, videos, graphics, logos and/or images (the „Contractual Partner Content“). For this purpose, the contractual partner will receive a username and password protected access (collectively the „Credentials“) to a Dropbox and a Trello board (collectively the „Tools“) managed by Pandora.
    2. Access to and use of the tools requires the correct entry of the credentials. The Contractual Partner is solely responsible for keeping the password secret and for securing and protecting the hardware and software used to access the tools. Pandora does not assume any warranty and is not liable for any damages incurred by the contracting partner from or in connection with a loss or misuse of the credentials, unless Pandora is responsible for the loss or misuse.
    3. The contracting partner undertakes to immediately inform Pandora in writing (email is sufficient) about any illegal and/or unauthorized use of its credentials and to ensure that it properly logs off after each access to the tools.
    4. The contractual partner is obliged to upload the contractual partner contents to be published within one month into the tools by the first (1.) of the previous month at the latest.
    5. The contracting party alone is responsible for the contracting party content that it uploads into the drop box. He warrants that he is the owner of all possible rights of use and/or exploitation rights required for the use of the Partner Content or that he has obtained the permission, license or other authorization from the owner of such rights to use and/or exploit the Partner Content, that he can freely dispose of it and that the use and/or exploitation of the Partner Content is permitted within the scope of Pandora's performance of the services. In addition, the contracting partner assures that the Partner Content complies with all applicable legal provisions and official regulations and in particular does not violate applicable guidelines and/or specifications (the „Guidelines“) of the website operators of the social media platforms. If the contracting partner transmits personal data to Pandora, the contracting partner further assures that the personal data has been collected, stored and used in compliance with the applicable data protection regulations and that the person concerned agrees to the use of his personal data in the sense of the contract concluded between the contracting parties. The contracting party is obligated to inform Pandora immediately about any revocation of the data subject's consent with respect to the use of his or her personal data or any other events that prevent further data processing. Pandora is explicitly not obliged to verify the contractual partner contents for their correctness, completeness and/or accuracy or to check them for any infringement of third party rights without having received an explicit and justified notice of an infringement in advance. Furthermore, Pandora is not obliged to store the Contract Partner Content for the contract partner after the implementation of a marketing measure.
    6. Pandora will send the contractual partner's content as a so-called content preview for the respective following month to the contractual partner by the fifth (5th) working day of the current month at the latest for a final review and release or for the notification of any requests for changes or adjustments (the „Changes“). The contracting partner must notify Pandora of any changes at the latest five (5) days after receipt of the content preview. If the contractual partner fails to notify Pandora of any changes, the content preview will be deemed released. After the release by the contractual partner, the contractual partner's content will be published on the social media platforms.
    7. Pandora reserves the right to remove, in whole or in part, Contract Partner Content which - in Pandora's reasonable discretion - violates applicable laws, governmental regulations and/or third party rights, constitutes a violation of these TOS, is contrary to public decency, xenophobic, contain content that is racist or ethnically offensive, pornographic, discriminatory, defamatory, obscene, threatening, intimidating, harassing, hateful, illegal or otherwise offensive, or is otherwise likely to damage and/or harm Pandora's reputation.
    8. The contracting partner is obliged to fully indemnify and hold harmless Pandora from any liability as well as any damages, losses, penalties, costs, expenses (including reasonable legal and court costs) and fines arising from or in connection with the publication of contracting partner content upon first request.
  5. Prices and payment
    1. The prices quoted by Pandora are valid for the scope of services agreed upon in the contract. The prices are in EURO plus the applicable statutory value added tax. Additional or special services (e.g. advertising campaigns, content campaigns or the creation of short films) as well as expenses incurred by Pandora from and in connection with the provision of services (e.g. travel expenses, overnight stays, etc.) are to be compensated separately and additionally.
    2. Invoice amounts are due and payable within fourteen (14) days of the invoice date without any deductions, unless expressly agreed otherwise in writing. The date of payment shall be determined by Pandora's receipt of the payment. Cheques shall only be considered as payment after they have been cashed. If the contracting party fails to make payment when due, the outstanding amounts shall bear interest at nine (9) percentage points above the respective base rate p.a. from the due date (Sections 286 (2), 288 (2), 247 BGB); the right to claim higher interest and/or further damages in case of default shall remain unaffected.
    3. The contracting partner may only offset counterclaims or withhold payments due to such claims if Pandora's counterclaims are undisputed or legally binding.
    4. Pandora is entitled to perform or render outstanding services only against advance payment or provision of security if and to the extent Pandora becomes aware of circumstances after the conclusion of the contract which are likely to substantially reduce the contracting partner's creditworthiness and which endanger the payment of Pandora's outstanding claims by the contracting partner from the respective contractual relationship (including from any other contractual relationship between Pandora and the contracting partner). Furthermore, Pandora is entitled to demand advance payments if and to the extent Pandora has to perform cost-intensive advance services and/or expenses in connection with the provision of Pandora's services.
  6. Performance period
    1. The contracting partner is aware that the services offered and to be provided by Pandora may be divided into individual service phases. Thus, the content provided by the contracting partner to Pandora will first be viewed, evaluated and assessed with respect to its usability for marketing activities. In subsequent service phases, the insights thus gained will then be implemented. If and to the extent the contracting partner has ordered campaigns, e.g. advertising campaigns and/or content campaigns, the campaigns will be implemented in individual service phases.
    2. Deadlines and dates promised by Pandora for the provision of services are always approximate and only refer to the individual service phases described in paragraph (1) above, unless a fixed deadline or date for the specific service is expressly promised or agreed.
    3. Pandora is - without prejudice to its rights arising from the contracting partner's default - entitled to demand from the contracting partner an extension of performance deadlines or a postponement of performance dates by the period of time in which the contracting partner does not (fully) fulfil its contractual obligations towards Pandora, in particular its obligations to cooperate.
    4. Pandora shall not be liable for delays in performance if they have been caused by force majeure or other events which were not foreseeable at the time of the conclusion of the contract (e.g. difficulties in the procurement of materials or energy, strike, lawful lockout, war, war-like conditions, sanctions, terrorist attacks, natural disasters, difficulties in obtaining necessary official permits or official measures) and for which Pandora is not responsible. If such events make Pandora's performance substantially more difficult or impossible and the hindrance is not only of temporary duration, Pandora is entitled to withdraw from the contract. In case of temporary hindrances, the performance deadlines will be extended or the performance dates will be postponed by the period of the hindrance plus a reasonable start-up period. If the contracting party cannot reasonably be expected to accept the performance due to the delay, it may withdraw from the contract by immediate written declaration.
    5. Pandora is entitled to make partial deliveries if and to the extent
      1. the partial performance can be used by the contractual partner within the scope of the contractual purpose, and
      2. the contracting partner will not incur any substantial additional expenses or costs (unless Pandora agrees to bear these costs).
    6. If Pandora is in default with a performance or if a performance becomes impossible for Pandora for any reason whatsoever, Pandora's liability for damages shall be limited according to the following clause 11. The above paragraph (4) remains unaffected.
  7. Place of performance
    1. The place of performance for all obligations of Pandora resulting from the contractual relationship is - unless otherwise agreed in writing between the contracting parties - Pandora's registered office. In case of need, the contracting parties will enter into an agreement on the provision of services at the contracting party's premises or at a third party designated by the contracting party. The Contractual Partner or the third party designated by it shall support Pandora in remedying any shortcomings in the performance of the services if the Contractual Partner and/or the third party are responsible for them.
    2. Insofar as acceptance is to take place, this shall be deemed to have taken place if
      1. the service is completed,
      2. Pandora has notified the contracting partner thereof with reference to the fiction of acceptance under this clause 7 paragraph (2) and has requested the contracting partner to accept,
      3. ten (10) business days have passed since the notification under b) above, and
      4. the contracting partner has failed to accept the goods within this period of time for any reason other than a defect notified to Pandora.
  8. Provision of services
    1. Pandora will provide the services it owes at its sole discretion through its governing bodies, employees or subcontractors (the „Service Providers“). Individual services offered by Pandora, especially the social media presence of the contractual partner, are supported by third parties (e.g. the website operator). The Website Operator expressly agrees to this. Pandora is entitled to replace the service providers in whole or in part.
    2. All services are provided by appropriately qualified personnel with reasonable care and expertise.
    3. Pandora is entitled to refuse and/or suspend the performance of certain services without this constituting a breach of Pandora's contractual obligations if sufficient reasons justify the assumption that the contractual content to be provided by the contracting partner within the scope of its obligation to cooperate and in connection with the contractual content to be provided by the contracting partner for the performance by Pandora violates third party rights or violates laws and/or other relevant regulations. Upon Pandora's request, the contracting partner is obliged to disclose and insure the legitimacy of the Contract Partner Content provided by it.
  9. Property rights
    1. Each contracting party shall remain the owner of the industrial property rights, including relevant copyrights, granted to it (already) or applied for by it at the time of entry into force of the Agreement or during the term of the Agreement.
    2. Pursuant to this Section 9, Pandora warrants that the Pandora Services, unless Pandora has expressly pointed out otherwise and outside the scope of application of Section 2 paragraph (5), are not encumbered with third party intellectual property rights and that Pandora holds all copyrights and ancillary copyrights necessary for the use and exploitation of the Pandora Services by the contracting partner. Each contracting party will immediately notify the other contracting party in writing if claims are asserted against it due to the infringement of such rights.
    3. In the event that a Pandora Service infringes a third party's industrial property right or copyright, Pandora will, at its own discretion and at its own expense, modify the affected Pandora Service in such a way that no more third party rights are infringed, but the affected Pandora Service continues to perform the contractually agreed functions, or will obtain the right of use or exploitation for the contracting party by concluding a license agreement. If Pandora does not succeed in doing so within a reasonable period of time, the contracting partner may withdraw from the contract or reduce the remuneration appropriately. Section 11 remains unaffected.
  10. Warranty
    1. Pandora does not assume any responsibility or liability for the success of the employer brand development or for the achievement of other purposes that the contracting party associates and/or expects with the marketing activity and/or a specific Pandora performance. In addition, Pandora does not warrant (i) the accuracy, completeness or usefulness of Contract Partner Content and/or Third Party Content, (ii) the functionality, accuracy, security, freedom from disruption, delay or malfunction of the social media platforms or any part thereof, (iii) the compliance of Contract Partner Content with the applicable Guidelines and any temporary and/or permanent blocking, deactivation and/or deletion of the social media account and/or specific content and post made by a website operator due to a violation of Guidelines by the Contract Partner Content.
    2. Similarly, Pandora does not assume any responsibility or liability for the success or possible damages caused by the offered Pandora services, especially by reactive communication as defined in section 2 paragraph (3).
    3. In addition, Pandora does not warrant that the contracting party has the necessary hardware and/or software to use and/or access the marketing campaign and/or Pandora service.
    4. The marketing measure may also contain links to third-party content. Pandora is expressly not responsible for the function of the link or for the third-party content accessible via such links.
    5. The Parties are aware that Pandora's services are predominantly provided over the Internet. However, due to the nature of the Internet, its availability cannot always be guaranteed. Pandora does not assume any responsibility or liability for the unavailability of the Pandora Services:
      1. due to insufficient technical requirements (hardware and/or software as well as internet connection) of the contractual partner;
      2. due to errors and/or defects in the data transmission network, Internet connection or other causes within the area of responsibility of the operator of the transmission network or the communication message server;
      3. due to force majeure and other unforeseeable events within the meaning of Section 6 paragraph (4); and
      4. due to maintenance.
    6. The contracting parties are aware that the Pandora services are based in whole or in part on services of third party providers (e.g. Facebook, Instagram, LinkedIn, XING, etc.). As a result, Pandora assumes no responsibility or liability for any disruption or failure of these services that results in delays or non-performance of the Pandora Services.
    7. Claims, complaints, causes of action, differences of opinion and warranty damages are excluded if the impairment of Pandora's services is due to circumstances for which the contracting party is responsible, in particular operating errors.
  11. Liability for damages due to fault
    1. Pandora's liability for damages, for whatever legal reason, in particular for impossibility, delay, defective or incorrect performance, breach of contract, breach of duty in contract negotiations and tort, to the extent that fault is involved, is limited according to this clause 11.
    2. In case of a temporary blocking, deactivation and/or deletion of a user profile (or user account) associated with a marketing activity by the respective platform provider, Pandora's liability is excluded unless caused by gross negligence on the part of Pandora, its organs, legal representatives, employees or other agents.
    3. Any liability of Pandora, its organs, legal representatives, employees and other vicarious agents is excluded in cases
      1. force majeure within the meaning of section 6 paragraph (4), and
      2. simple negligence, as far as it does not concern the violation of essential contractual obligations,
      excluded. Essential contractual obligations within the meaning of the above lit. b) are those obligations whose fulfilment is essential for the proper performance of the contract and on whose compliance the contractual partner has relied and may regularly rely.
    4. To the extent Pandora is liable for damages on the merits pursuant to the above paragraph (3), the amount of such liability is limited to damages which Pandora foresaw at the time of the conclusion of the contract as a possible consequence of a breach of contract or which Pandora should have foreseen when applying the due diligence taking into account all circumstances which were or should have been known to Pandora, but in no case beyond the value of the performance owed under the contract. Indirect damages and consequential damages, in particular lost profits or other reputational damages are - as far as legally permissible - excluded from any liability.
    5. If Pandora provides technical information or advice and such information or advice is not part of the contractually agreed scope of services owed by Pandora, it will be provided free of charge and under exclusion of any liability.
    6. The exclusions and limitations of liability of this clause 11 do not apply to Pandora's liability for (i) intent or gross negligence, (ii) culpable injury to life, body or health and (iii) liability under the German Product Liability Act or other mandatory legal provisions.
    7. The contracting partner's claims for damages, unless they are based on intentional conduct of Pandora, injury to life, body or health or the Product Liability Act, shall become statute-barred within eighteen (18) months after the claim has arisen and the contracting partner knows or must know about the circumstances substantiating the claim and the identity of the debtor.
    8. In all other respects the statutory provisions shall apply.
  12. Termination of contract
    1. The contracting parties may terminate the contract - provided that this is a continuing obligation and not a one-off order - at any time without good cause by giving thirty (30) days' notice to the respective end of the contract. Unless otherwise agreed in the contract, the term of the contract shall be automatically extended by twelve (12) months in each case if the contract is not terminated in due time.
    2. Either party to the contract may terminate the contract without extraordinary notice if there is good cause within the meaning of Section 314 (1) of the German Civil Code (BGB); this is particularly the case if the other party to the contract violates the obligations incumbent upon it under the contract to a considerable extent and this violation of obligations is likely, according to reasonable commercial judgement, to cause considerable disadvantages.
    3. A termination requires at least the text form according to § 126b BGB to be effective.
  13. Notes on data protection
    1. The contractual partner and its employees, bodies and legal representatives are hereby expressly informed pursuant to Art. 13 of the EU Data Protection Regulation („GDPR“) that their personal data, such as in particular name, contact data and all other data which are generated in the context of the services provided by Pandora, as far as they are relevant for the contractual relationship and necessary for its proper execution, may be processed by Pandora (this includes the collection, storage, deletion and transmission of data). No automated decision making including profiling or data transfer to third countries or international organizations takes place.

    3. The legal basis for the processing of personal data is Article 6(1) b) (necessity for the performance of contractual relationships and pre-contractual measures), c) (necessity for the performance of legal obligations) and f) (necessity for the protection of the legitimate interests of the responsible parties) GDPR, since Pandora has a legitimate interest in the proper performance of the contractual relationship.
    4. Personal data will not be disclosed to third parties, with the exception of Pandora's service partners who are required to process the contractual relationship and who have been instructed by Pandora to process personal data in strict compliance with legal requirements or those who are legally bound to secrecy (e.g. tax consultants, lawyers).
    5. The personal data of the contractual partner will only be stored and processed for as long as it is necessary for the execution and processing of the contractual relationship or to achieve other legitimate purposes. Due to statutory storage obligations, this is ten (10) years for tax-relevant documents and six (6) years for other business documents after the last statement, unless longer storage is required due to statutory or contractual obligations.
    6. The contracting party is hereby notified of the existence of the following rights, which can be asserted against Pandora at any time using the contact information provided above:
      • Right of access: Article 15 of the DPA provides for the right to request information on the personal data processed; in particular, information on the purposes of the processing, the category of personal data, the categories of recipients to whom the data have been or will be disclosed, the intended storage period, the existence of a right of rectification, erasure, restriction of processing or opposition, the existence of a right of appeal, the origin of the data if not collected by Pandora, the existence of automated decision making, including profiling, and, where applicable, meaningful information on the details thereof.
      • Right of rectification: Pursuant to Art. 16 GDPR, you have the right to request the correction of incorrect or incomplete personal data stored at Pandora without delay.
      • Right of deletion („right to be forgotten“): Pursuant to Art. 17 GDPR, Pandora has the right to request the deletion of personal data stored at Pandora unless the processing is necessary to exercise the right to freedom of expression and information, to comply with a legal obligation, for reasons of public interest or to assert, exercise or defend legal claims.
      • Right to restriction: According to Art. 18 GDPR, there is the right to demand the restriction of the processing of personal data if the accuracy of the data is disputed by the contractual partner, the processing is unlawful but the contractual partner refuses to delete it and Pandora no longer needs the data, but the contractual partner needs the data to assert, exercise or defend legal claims or the contractual partner has filed an objection to the processing according to Art. 21 GDPR.
      • Right to data transferability: According to Art. 20 GDPR, there is the right to receive the personal data provided in a structured, common and machine-readable format or to request transfer to another responsible party.
      • Right of appeal to the supervisory authority: According to Art. 77 GDPR, there is a right to complain to the competent supervisory authority if the contractual partner is of the opinion that personal data is being processed unlawfully. As a rule, the contractual partner may contact the supervisory authority of his usual place of residence/work or Pandora's place of business.
    7. Right of objection (Art. 21 GDPR)

      The contractual partner has the right to object to the processing of personal data at any time for reasons arising from his particular situation. If he/she raises an objection, Pandora will no longer process the personal data processed on the basis of Art. 6 (1) lit. f) GDPR, unless it can demonstrate compelling reasons for processing worthy of protection that outweigh the interests, rights and freedoms of the contractual partner, or the processing serves to assert, exercise or defend legal claims. The objection can be made at any time without any formalities to Pandora using the contact information provided above, e.g. to the email address info@hocaboo.com.
    8. The contracting party is advised that it is not obliged to provide Pandora with personal data if this is not necessary for the purpose of fulfilling the contract.
    9. The contractual partner is hereby informed that it is necessary to inform any other persons (employees, bodies and legal representatives) that may be present at the contractual partner's site about the data processing at Pandora in accordance with this Privacy Policy.
  14. Other provisions
    1. Pandora is entitled to transfer or assign, in whole or in part, all rights and obligations arising out of or in connection with these T&Cs to affiliates (as defined in Sections 15 et seq. of the German Stock Corporation Act) or in connection with a merger, acquisition, restructuring, sale of assets or change of management, whether by operation of law or otherwise. Otherwise, the rights and obligations arising from these GTCs may only be transferred with the express prior written consent of the other party to the contract.
    2. The exclusive place of jurisdiction for all disputes arising between the contracting parties from or in connection with the contract or these General Terms and Conditions (including disputes about their scope and/or validity) is Berlin, insofar as such can be effectively agreed. Mandatory statutory provisions regarding exclusive places of jurisdiction shall remain unaffected by this provision.
    3. For purposes of proof, all verbal amendments or additions to the contract or these GTCs (precedence of the individual agreement in accordance with § 305b of the German Civil Code) shall be confirmed in writing if the written form is not a legal requirement for validity. In this latter case, any amendment or addition must be made in writing in order to be effective. No agreements other than those set out in these GTC have been made between the parties to the contract and no other oral agreements exist.
    4. The contract concluded between the contracting parties as well as these General Terms and Conditions are subject exclusively to the law of the Federal Republic of Germany, excluding the statutory conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods.
    5. If the contracting partner violates any provision of these GTC and if Pandora refrains from asserting a breach of duty, this does not constitute a waiver by Pandora of the contracting partner's compliance with the violated provision and does not mean that the applicability of the violated provision was prevented by conclusive behavior.
    6. Should present or future provisions of these GTC or the contract be wholly or partially void, invalid or unenforceable or later lose their legal validity or enforceability, this shall not affect the validity of the remaining provisions of these GTC and/or the contract. § 139 BGB is expressly not applicable. The same applies if it should turn out that these GTC and/or the contract contain a loophole. If the void, ineffective or unenforceable provision is a provision that does not serve to protect a party to the contract, the parties to the contract shall agree on an appropriate provision in its place that, as far as legally possible, comes as close as possible to what the parties to the contract intended or would have intended according to the meaning and purpose of these GTC and/or the contract if they had recognised the voidness, ineffectiveness or loophole. If the invalidity or voidness or unenforceability of a provision is based on a measure of performance or time (deadline or date) specified therein, the legally permissible measure which comes closest to the invalid or unenforceable provision shall be deemed agreed. Otherwise, the void, ineffective or unenforceable provision shall be replaced by the corresponding legal provision.

Allgemeine Geschäftsbedingungen für die Nutzung von hocaboo für Arbeitnehmer (Stand: Juni 2017)

  1. Geltungsbereich
    1. Das Portal “www.hocaboo.com” (nachfolgend “hocaboo” genannt) wird von der Pandora Vermittlung GmbH, Bundesallee 220, 10719 Berlin, Deutschland betrieben. hocaboo hat den Zweck eine Erleichterung der Kontaktaufnahme zwischen von Arbeitgebern und Arbeitnehmern in der Hotellerie und Tourismusbranche herbeizuführen.
    2. Für die Nutzung der Plattform durch die Arbeitnehmer, gelten ausschließlich diese Allgemeinen Geschäftsbedingungen.
    3. Diese Allgemeinen Geschäftsbedingungen werden dem Arbeitnehmer auf der Plattform bereitgestellt, so dass der Arbeitnehmer sie lesen, herunterladen und lokal speichern kann.
  2. Vertragsgegenstand
    1. Vertragsgegenstand ist die unentgeltliche Zurverfügungstellung einer Plattform zum Einstellen von neuen Mitarbeitern, welche mithilfe eines Auswahlverfahrens anhand festgelegter Kriterien vorgeschlagen werden. Arbeitnehmer können unentgeltlich ein Profil erstellen, Fragen beantworten und mit den vorgeschlagenen Arbeitgebern Kontakt aufnehmen.
    2. Die Plattform steht 24 Stunden am Tag und 365 Tage pro Jahr mit einer Verfügbarkeit von 98 % im Jahresmittel für die Nutzung zur Verfügung. Bei erforderlichen Wartungsarbeiten, welche die Verfügbarkeit beeinträchtigen erfolgt eine nach Möglichkeit rechtzeitige Benachrichtigung per Email. hocaboo ist nicht für Ausfallzeiten, in denen die Plattform aufgrund von technischen oder sonstigen Problemen, die nicht im Einflussbereich von hocaboo liegen, verantwortlich.
  3. Rechte und Pflichten des Arbeitnehmers
    1. Für die Nutzung der Plattform ist eine Registrierung des Arbeitnehmers durch die Erstellung eines Accounts notwendig. Die von dem Arbeitnehmers eingegebenen Daten müssen wahrheitsgetreu angegeben und bei Änderungen unverzüglich aktualisiert werden. Die Verwendung von Pseudonymen, Abkürzungen und Künstlernamen ist unzulässig. Nach Erstellung des Accounts sendet hocaboo dem Arbeitnehmer an die von ihm angegebene E-Mail Adresse eine Bestätigung seiner Registrierung. Dieses E-Mail enthält zusätzlich eine Belehrung über das Widerrufsrecht des Arbeitnehmers und diesen Allgemeinen Geschäftsbedingungen. Des Weiteren stellt das E-Mail die Annahme des vom Arbeitnehmer angebotenen Nutzungsvertrages dar. Das vom Arbeitnehmer erstellte Profil wird nach einer automatischen Freischaltung von hocaboo in die Plattform integriert. Ein Anspruch des Arbeitnehmers auf Abschluss des Nutzungsvertrages besteht nicht.
    2. hocaboo kann technisch nicht mit Sicherheit feststellen, ob ein Arbeitnehmer tatsächlich diejenige Person darstellt, die der Arbeitnehmer vorgibt zu sein. Deshalb leistet hocaboo keine Gewähr für die tatsächliche Identität eines Arbeitnehmers.
    3. hocaboo ist berechtigt, den Arbeitnehmer jederzeit nach eigenem Ermessen zum Nachweis seiner Angaben in Form von amtlichen Papieren aufzufordern. Erfolgt die Übermittlung der amtlichen Papiere nicht innerhalb einer Frist von 14 Tagen nach Erhalt der Aufforderung, ist hocaboo zur Sperrung des Profils und Accounts berechtigt.
    4. Für die Geheimhaltung seines Benutzernamen und Passwortes für den Zugang ist der Arbeitnehmer selbst verantwortlich. Er wird diese nicht weitergeben, die Kenntnisnahme von Unbefugten oder Dritten nicht dulden oder ermöglichen und die erforderlichen Maßnahmen zur Erhaltung der Vertraulichkeit ergreifen. Im Falle eines Missbrauches oder den Verlust dieser Angaben oder einem entsprechendem Verdacht wird der Arbeitnehmer hocaboo mittels einer E-Mail an die E-Mail Adresse info[at]hocaboo[dot]com darüber informieren.
    5. Nutzung der Plattform

    6. Die Nutzung von hocaboo ist für den Arbeitnehmer kostenlos.
    7. hocaboo bietet den Arbeitnehmern die Möglichkeit zur Erstellung eines Profils. Arbeitgeber können das volle Profil des Arbeitnehmer erst einsehen, sobald dieser das Angebot annimmt. Bis dahin ist für den Arbeitgeber das Profil nur anonymisiert sichtbar.
    8. Das Nutzer-Profil bleibt online, solange es nicht von dem Arbeitnehmer oder hocaboo – siehe unter Punkt 7 – deaktiviert wird. Der Arbeitnehmer hat keinen Anspruch auf die Veröffentlichung seines Profils.
    9. Erstellung des Profils

    10. Der Arbeitnehmer ist verpflichtet sämtliche anwendbaren Gesetze bei der Anlegung seines Profils zu beachten. Insbesondere darf der Arbeitnehmer keine Inhalte verwenden, die gegen Gesetze verstoßen, welche den Schutz von fremden Urheberrechten oder sonstigen Rechten Dritter betreffen. Für die bereitgestellten Inhalte und Daten ist der Arbeitnehmer selbst verantwortlich.
    11. Der Arbeitnehmer kann ein Bild seinem Profil zur Erkennung hinzufügen. Dieses muss aktuell und zur Identifizierung des Arbeitnehmers geeignet sein. Dabei verpflichtet sich der Arbeitnehmer über die Berechtigung der Veröffentlichung des Bildes zu verfügen und durch das Hochladen nicht gegen gesetzliche Vorschriften oder Rechten von Dritten verstößt.
    12. Inhalte oder Dateien, welche Gewaltdarstellungen, rassistische, beleidigende, diskriminierende, pornografische oder sonstige rechtswidrige Inhalte enthalten dürfen nicht auf dem Profil des Arbeitnehmers verwendet werden.
    13. Die Löschung von verwendeten Bildern und Dateien kann sowohl durch den Arbeitnehmer als auch durch hocaboo jederzeit erfolgen.
    14. Bei Verstoß des Arbeitnehmers gegen diese Regeln, ist hocaboo befugt das Profil und den Account des Arbeitnehmers jederzeit zu deaktivieren.
    15. Haftungsfreistellung

    16. Der Arbeitnehmer stellt hocaboo von allen Ansprüchen frei, die andere Arbeitnehmer oder sonstige Dritte hocaboo gegenüber wegen Rechtsverletzung durch die Nutzung von hocaboo geltend machen. Der Arbeitnehmer übernimmt die Kosten von hocaboo für die notwendige Rechtsverteidigung, einschließlich sämtlicher Gerichts-und Rechtsanwaltskosten in gesetzlicher Höhe. Dies gilt nicht, wenn die Rechtsverletzung von dem Arbeitnehmer nicht zu vertreten ist. Der Arbeitnehmer ist verpflichtet, für den Fall der Inanspruchnahme durch Dritte hocaboo unverzüglich und vollständig alle Informationen zur Verfügung zu stellen, die für die Prüfung der Ansprüche und eine Verteidigung erforderlich sind.
  4. Rechte und Pflichten von hocaboo
    1. hocaboo stellt dem Arbeitnehmer die Plattform bereit. Dabei bietet hocaboo lediglich die technischen Möglichkeiten zur Verfügung. Diese sind die Plattform selbst, das vorgefertigte Formular des Profils, die Zusammenführung mit passenden Unternehmen und die Kontaktdaten der jeweiligen Unternehmen. hocaboo ist nicht für den Erfolg der Zusammenführung verantwortlich. Dem Arbeitnehmer ist bewusst, dass dies mittels einer Software erfolgt und diese fehlerhaft sein kann.
    2. Die Plattform stellt lediglich eine Unterstützung für die Belegung von offenen Stellen dar. Eine Beteiligung von hocaboo in den jeweiligen Bewerbungsprozess findet nur dann statt, wenn hocaboo vom Arbeitgeber dazu beauftragt wurde. Sollte ein Arbeitnehmer für eine entsprechende Stelle in Frage kommen, wird der Mitarbeiter von hocaboo ihn direkt zu Beginn der Kontaktaufnahme darauf hinweisen.
  5. Rechtseinräumung
    1. Mit der Erstellung des Profils durch den Arbeitnehmer werden hocaboo an den darin enthaltenen Inhalten die folgenden nichtausschließlichen, übertragbaren, zeitlich und räumlich unbeschränkten Nutzungsrechte eingeräumt:
      • Das Archivierungs- und Datenbankrecht. Das heißt das Recht, die Inhalte in jeder Form zu archivieren und insbesondere auch digitalisiert zu erfassen, in Datenbanken einzustellen und auf allen bekannten Speichermedien und auf beliebigen Datenträgern zu speichern und mit anderen Werken oder Werkteilen zu verbinden.
      • Das Vervielfältigungs- und Verbreitungsrecht. Das heißt das Recht, die Inhalte beliebig zu speichern, zu vervielfältigen und in elektronischen oder anderen Medien (z. B. Internet, Zeitungen, Zeitschriften) ganz oder teilweise zugänglich zu machen oder zu verbreiten.
      • Das Bearbeitungsrecht. Das heißt das Recht, die Inhalte beliebig zu bearbeiten, insbesondere zu ändern, zu kürzen, zu ergänzen und mit anderen Inhalten zu verbinden.
  6. Haftung
    1. Für Schäden die dem Arbeitnehmer durch die Nutzung von hocaboo entstanden sind, haftet hocaboo nicht. Davon ausgenommen sind Schadensersatzansprüche aus der Verletzung des Lebens, des Körpers, der Gesundheit oder aus der Verletzung wesentlicher Vertragspflichten. Wesentliche Vertragspflichten sind solche, deren Erfüllung zur Erreichung des Zieles des Vertrages notwendig sind. Bei der Verletzung wesentlicher Vertragspflichten haftet hocaboo nur auf den vertragstypischen, vorhersehbaren Schaden, wenn dieser einfach fahrlässig verursacht wurde, es sei denn, es handelt sich um Schadenersatzansprüche aus einer Verletzung des Lebens, des Körpers oder der Gesundheit.
  7. Vertragsdauer und Beendigung des Vertrages
    1. Der Nutzungsvertrag zwischen Arbeitnehmer und hocaboo wird auf unbestimmte Zeit abgeschlossen. Somit berechtigt der Arbeitnehmer hocaboo dazu die Nutzerdaten auf unbestimmte Zeit zu speichern.
    2. Der Arbeitnehmer kann den Vertrag jederzeit durch die Löschung seines Accounts kündigen. Dadurch wird das Profil deaktiviert.
    3. hocaboo kann den Vertrag mit einer Frist von 30 Tagen jederzeit kündigen. hocaboo ist ferner berechtigt, den Nutzungsvertrag mit sofortiger Wirkung zu kündigen, falls der Arbeitnehmer gegen die Allgemeinen Geschäftsbedingungen verstößt. Unbeschadet dieser Möglichkeit zur Kündigung des Nutzungsvertrages behält sich hocaboo das Recht vor, den Account des Arbeitnehmers mit sofortiger Wirkung vorübergehend zu sperren.
    4. Die Kündigung bedarf der Textform.
  8. Widerrufsbelehrung für Verbraucher
    1. Sie haben das Recht, binnen vierzehn Tagen ohne Angabe von Gründen diesen Vertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag des Vertragsabschlusses. Um Ihr Widerrufsrecht auszuüben, müssen Sie uns mittels einer eindeutigen Erklärung (z.B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren.
      Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden.
  9. Änderungen der Leistungen und der Allgemeinen Geschäftsbedingungen
    1. hocaboo behält sich vor, die angebotenen Leistungen zu ändern oder abweichende Leistungen anzubieten, außer dies ist für den Arbeitnehmer nicht zumutbar. Darüber hinaus behält sich hocaboo vor, die angebotenen Leistungen zu ändern oder abweichende Leistungen anzubieten, wenn die jeweilige Änderung notwendig ist, um bestehende Sicherheitslücken zu schließen oder wenn die Änderung rein technischer oder prozessualer Natur ohne wesentliche Auswirkungen für den Arbeitnehmer ist.
    2. Wir behalten uns weiterhin vor, diese Allgemeinen Geschäftsbedingungen jederzeit ohne Nennung von Gründen zu ändern, es sei denn, dass dies für den Arbeitnehmer unzumutbar ist.
      Die Arbeitnehmers werden über Änderungen der Allgemeinen Geschäftsbedingungen von hocaboo rechtzeitig benachrichtigt. Widerspricht der Arbeitnehmers der Geltung der neuen AGB nicht innerhalb von sechs (6) Wochen nach der Benachrichtigung, gelten die geänderten Allgemeinen Geschäftsbedingungen als vom Arbeitnehmer angenommen.
      hocaboo wird den Arbeitnehmer in der Benachrichtigung auf ihr Widerspruchsrecht und die Bedeutung der Widerspruchsfrist hinweisen.
  10. Rechtswahl/Gerichtsstand
    1. Es gilt deutsches Recht.
    2. Hat der Arbeitnehmer keinen allgemeinen Gerichtsstand im Inland oder in einem anderen EU-Mitgliedsstaat oder hat der Arbeitnehmer seinen festen Wohnsitz nach Wirksamwerden dieser Nutzungsbedingungen ins Ausland verlegt oder ist sein Wohnsitz oder gewöhnlicher Aufenthaltsort im Zeitpunkt der Klageerhebung nicht bekannt, ist ausschließlicher Gerichtsstand für sämtliche Streitigkeiten aus diesem Vertrag der Sitz von hocaboo.
